Terms of Service

These Terms of Service ("Terms") govern your access to and use of Tempo ("the Service"), a Slack application provided by NomadLink ("we," "us," or "our"). By installing or using Tempo, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing Tempo in your Slack workspace or using the Service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree to these Terms, do not install or use the Service.

2. Description of Service

Tempo is a Slack application that enables teams to:

  • Send and receive celebrations and recognition
  • Track team engagement through leaderboards
  • Access analytics and insights about team morale
  • Automate milestone celebrations and summaries

3. Account and Workspace Responsibilities

Workspace Administrators

If you install Tempo as a Slack workspace administrator, you:

  • Are responsible for managing Tempo's access and settings within your workspace
  • Agree to these Terms on behalf of your organization
  • Are responsible for ensuring users in your workspace comply with these Terms

All Users

You agree to:

  • Use the Service only for lawful purposes
  • Not use the Service to harass, abuse, or harm others
  • Not attempt to gain unauthorized access to the Service or related systems
  • Not interfere with or disrupt the Service
  • Not use automated means to access the Service except through our official integrations

4. Acceptable Use

When using Tempo, you agree not to:

  • Send celebrations containing hate speech, harassment, or discriminatory content
  • Use the Service to spam or send unsolicited messages
  • Upload or share content that infringes on intellectual property rights
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate access to the Service for violations of these Terms.

5. Subscription and Billing

Free Tier

  • The free tier includes limited features as described on our pricing page
  • We reserve the right to modify free tier limits with reasonable notice

Paid Subscriptions

  • Paid plans are billed monthly or annually as selected at checkout
  • Payment is processed securely through Stripe
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You can cancel your subscription at any time through the Tempo admin dashboard

Refunds

  • We offer refunds within 14 days of initial purchase if you are unsatisfied with the Service
  • Refunds are not available for partial billing periods after the 14-day window
  • To request a refund, contact admin@nomadlink.tech

Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at your next billing cycle after the notice period.

6. Intellectual Property

Our Rights

The Service, including its original content, features, and functionality, is owned by NomadLink and is protected by international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you create using the Service (celebration messages, etc.). By using the Service, you grant us a limited license to store, display, and transmit your content as necessary to provide the Service.

Feedback

If you provide feedback or suggestions about the Service, we may use this feedback without any obligation to you.

7. Third-Party Services

The Service integrates with and depends on third-party services:

  • Slack: Use of Tempo is subject to Slack's Terms of Service
  • Stripe: Payment processing is subject to Stripe's Terms

We are not responsible for the availability or functionality of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOMADLINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless NomadLink and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Service

11. Termination

By You

You may stop using the Service at any time by uninstalling Tempo from your Slack workspace.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement

Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We will retain your data for 90 days, after which it will be deleted (see our Privacy Policy)
  • Provisions that by their nature should survive termination will survive

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • For significant changes, notifying workspace administrators via email or Slack

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

13. General Provisions

Governing Law

These Terms are governed by the laws of the jurisdiction in which NomadLink is registered, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration or in the courts of competent jurisdiction.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NomadLink regarding the Service.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
